  • Campaign Finance & Election Law: Advising PACs, nonprofits, candidates, and other political committees on campaign finance laws, including compliance with the Federal Election Campaign Act and state and local laws; advising on Super PAC registration, reporting, and disclaimer requirements; and resolving enforcement actions before the FEC and state campaign finance authorities.
  • Nonprofit Advocacy & Tax-Exempt Organizations: Establishing, structuring, and providing counsel to 501(c)(3), 501(c)(4), 501(c)(6), and other organizations engaged in grassroots lobbying, issue advocacy, voter registration, public education, grantmaking, and direct electoral activity; negotiating grant agreements, cost-sharing arrangements, fiscal sponsorships, and other contracts; drafting and filing IRS exemption applications and annual Form 990s; assisting with legal risk assessments and mitigation.
  • Congressional Investigations: Preparing individuals to face politically sensitive government investigations, appear before high-stakes Congressional hearings, and review and respond to requests for materials and documents.
  • Political Consulting: Advising political consultants and public relations firms on campaign finance compliance, coordination and Firewall Policies, fundraising activities and events, and contract negotiations with candidate committees and political entities.
  • Candidate Recounts & Voter Access: Designing and executing election recount and post-election planning strategies for candidates and campaigns; training volunteers and attorneys in voting access, election integrity, and voter protection.
  • Corporate Governance: Drafting, reviewing, and enforcing internal corporate board governance bylaws and policies; registering and filing entities with taxing authorities and other state agencies.
